1. Acceptance of terms
By accessing or using Rankli's website at getrankli.com or by subscribing to the Rankli service (together, the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you don't agree, please don't use the Service.
If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. The service
Rankli prepares online stores — primarily Shopify — for agentic commerce. That includes auditing your store, optimizing product schema and content for the Universal Commerce Protocol (UCP), the Universal Cart, AP2, and AI shopping agents like Gemini, and monitoring AI visibility over time. Specific deliverables depend on the plan you select and the state of your store.
3. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use Rankli. The Service is intended for business use — operators of online stores or their authorized representatives.
4. Accounts
- You're responsible for keeping your account credentials confidential and for all activity that happens under your account.
- You agree to provide accurate information and to keep it up to date.
- Notify us promptly at hello@getrankli.com if you suspect unauthorized access.
5. Subscriptions, billing, and cancellation
Billing cycle
Rankli subscriptions are billed in advance on a recurring monthly basis through Stripe. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel.
Pricing changes
We may change pricing for the Service. If we do, we'll give you at least 30 days' notice before the change applies to your subscription. Continued use after the effective date constitutes acceptance of the new price.
Cancellation
You can cancel at any time by emailing hello@getrankli.com or via your customer portal if available. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not pro-rate partial months.
Refunds
Our refund policy is set out in our Refund Policy, which is incorporated into these Terms.
Taxes
Prices shown are exclusive of applicable taxes. You're responsible for any taxes that apply to your purchase, except those based on our net income.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Misrepresent the ownership of a store or attempt to use Rankli on a store you don't own or aren't authorized to act on behalf of.
- Resell, sublicense, or redistribute the Service without our written permission.
- Reverse-engineer, decompile, or attempt to extract source code from the Service.
- Interfere with or disrupt the integrity or performance of the Service, including by submitting malware, attempting to gain unauthorized access, or sending excessive automated requests.
- Use the Service to publish or promote misleading, deceptive, or prohibited products or content.
We may suspend or terminate your access if you violate these rules.
7. Intellectual property
The Rankli name, logo, website, software, methodology, and all related materials are owned by Rankli and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms during your subscription.
8. Customer content and deliverables
You retain ownership of your store, your products, and the content you provide to us. By using Rankli, you grant us a license to access, store, and process that content as necessary to deliver the Service.
Schema, descriptions, FAQ pages, GEO content, and other deliverables Rankli creates and installs on your store ("Deliverables") become part of your store. You may continue to use them after your subscription ends. We retain ownership of the underlying methodology, tools, and proprietary frameworks used to produce them.
9. Third-party platforms
Rankli depends on third-party platforms (such as Shopify, Google, Stripe, and the protocols and tools published by those platforms). We are not responsible for changes those platforms make to their APIs, policies, ranking systems, AI models, or availability. Your use of those platforms is governed by their respective terms.
10. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Rankli disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
Rankli does not guarantee any specific outcome — including but not limited to AI visibility, inclusion in the Universal Cart, Gemini recommendations, traffic, sales, search rankings, or conversion rates. Results depend on factors outside our control, including third-party platform behavior, your store's existing state, your product catalog, and broader market conditions. See our Disclaimer for more.
11. Limitation of liability
To the maximum extent permitted by law, Rankli and its officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to the Service — even if we have been advised of the possibility of such damages.
In no event will Rankli's total aggregate liability arising out of or relating to these Terms or the Service exceed the greater of (a) the amount you paid to Rankli in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Rankli and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) your content provided to or made accessible through the Service.
13. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we are required to do so by law. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will survive.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The exclusive forum for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Delaware, and you and Rankli each consent to the personal jurisdiction of those courts.
Before filing any formal claim, you agree to first attempt to resolve the dispute informally by emailing hello@getrankli.com. We'll try to resolve it within 60 days.
15. Changes to these terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date above. Material changes will be communicated by email or a notice on the site at least 30 days before they take effect. Continued use of the Service after the effective date means you accept the revised Terms.
